  • Savings and Loan - Financial statement audit of a $5 billion publicly traded savings and loan and review of its related public filings.
  • Specialty Chemicals and Construction Products - Financial statement audit of a $6 billion specialty chemicals and construction products conglomerate.
  • Defense Contractor - Financial statement audit of a $500 million, publicly traded defense contractor and review of its related public filings.
  • High Technology - Financial statement audit of a $80 million high technology company specializing in the manufacture and sale of computer memory.
  • Mutual Funds and Asset Management - Financial statement audits of numerous investment companies, an asset manager and other financial service companies.
  • Real Estate and Real Estate Investment - Financial statement audits of various real estate entities and real estate investment partnerships.
TAX
  • Compliance - Assisted with the preparation of a number of corporate, partnership, individual, estate and trust tax returns for domestic and international tax clients, in a broad array of industries with diverse and complex tax matters.  In addition, assisted clients with a number of informational filings and returns for tax-exempt, non-profit and charitable entities.

  • Advisory - Provided tax advice to a series of controlled corporations to assist management in structuring the entities in order to consider the tax impact of graduated tax rates, shared attributes, preservation of attribute carry-forwards and align for a corporate reorganization.

  • Advisory - Provided tax advice to a number of high-net worth individuals in conjunction with their restructuring of asset, investment and real estate holdings, their redesign and update of financial and estate plans and the projection of the tax consequences of doing so, including the analysis of current tax positions and prospective tax strategies.

  • Advisory - Assisted the owners of an "S" corporation with the analysis of certain proposed stock redemptions among its shareholders, including consideration of the constructive ownership rules among family members.

  • Advisory - Assisted the trustees of two family trusts to restructure those trusts considering investment holdings, related liquidity, income needs of beneficiaries and certain intergenerational tax and estate planning matters.

  • Advisory - Assisted a non-profit organization with the preparation of its application for tax-exempt status to the Internal Revenue Service.

  • Advisory - Assisted a investment advisory firm in connection with the structuring and review of their partnership agreement, including consideration of numerous tax provisions involving the operation and maintenance of members capital accounts, distributive share and member compensation issues.

  • Representation - Represented a domestic client in connection with negotiations surrounding an offer-in-compromise with the Internal Revenue Service.

  • Representation - Represented an individual taxpayer during the Internal Revenue Service's appeals process in connection with certain disputed business deductions that arose upon audit, thereby avoiding litigation pending in the Tax Court.

  • Representation (Advisory) - Assisted a taxpayer to prepare their case presented to the Massachusetts Appellate Tax Board involving the correct interpretation of the statute of limitations with respect to a refund claim previously denied by the Massachusetts Department of Revenue.

  • Representation - Represented numerous taxpayers in front of Federal and state taxing authorities to assist those taxpayers in addressing and responding to a wide range of notices, audits, collection actions and other administrative and procedural matters.

LITIGATION SUPPORT

  • Patent Infringement - Assisted a manufacturer of sporting goods and fitness equipment defend against a patent infringement claim brought by a competitor with dominant market share in the industry.
  • Fiduciary Liability - Assisted the directors and officers of a publicly traded gas utility defend against fiduciary liability and breach of contract claims arising from the utility's spin-off of a troubled savings and loan.
  • Breach of Contract - Assisted the partners of a buyout fund defend against claims that it failed to perform under the terms of a stock purchase agreement to acquire the majority interest in a oil and gas exploration company.
  • Professional Malpractice - Assisted a "Big 4" accounting firm defend against professional malpractice and securities class action claims in connection with its audits of a high technology company.
  • Fraudulent Conveyance - Assisted the managers of a buyout fund defend against fraudulent conveyance claims brought by the bondholders of publicly-traded debt issued in connection with the leveraged buyout of a mining equipment manufacturer.
  • Dissenting Shareholder Action - Assisted the shareholders of a convenience store chain try to regain control of the company after its bankruptcy by designing, soliciting and obtaining a financing commitment to remove the unsecured creditor's class from board control.
  • Royalty Dispute - Assisted the manufacturer of electrical components in its claim for additional royalties due under an agreement to license patented power conversion technology to the manufacturer of telecommunications equipment.
  • Securities Litigation - Assisted the Securities and Exchange Commission in an action against the directors and officers of a publicly traded software company whose revenue recognition practices were in question.
  • Purchase Price Dispute - Assisted the buyer of a pet products company review the seller's application of generally accepted accounting principles in its financial statements and purchase price adjustments.
  • Forensic Accounting - Assisted a deceased partner's estate to analyze the books and records of a food brokerage business for financial improprieties and tax fraud.
CORPORATE RECOVERY AND BANKRUPTCY
  • Fitness Equipment - Assisted the debtor of a privately held fitness equipment manufacturer by providing turnaround and financial advisory services including analysis of product-line performance, cash flow projections, financing requirements and collateral positions, and assisted the debtor renegotiate its primary credit facility with its senior lender. Subsequently, assisted the debtor with pre-bankruptcy planning including preparation of the petition and related schedules as well as preparing the financial support for first day orders.
  • Chemical Transportation - Assisted the unsecured creditors' committee of a bankrupt chemical trucking and transportation company by serving as accountant and financial advisor for the committee. Services included analysis of business failure, review of financial filings and monthly operating reports, assessment of debtor's reorganization plan and feasibility, and consideration of a potential fraudulent conveyance action.
  • Publishing - Assisted the debtor of a large publicly traded publishing company seeking bankruptcy protection for itself and 14 of its subsidiaries. Assisted the debtor with the preparation of its petition, schedules and statements of financial affairs.
  • Entertainment Industry - Assisted the unsecured creditors' committee of a bankrupt amusement park located on 500 acres of pristine waterfront property by serving as accountant and financial advisor during the bankruptcy. Services rendered included assessment of business failure, review of financial reports, recommendations on internal controls, analysis of preference payments, assistance with business plan feasibility, preparation of descriptive memorandum and due diligence material for sale of business, critique of plan and disclosure statement.
  • Real Estate Partnerships - Assisted the board of directors of two publicly-traded real estate limited partnerships involved in the wind-down, liquidation and distribution of its properties by serving as accountant and financial advisor. Services rendered included maintenance of books and records, preparation of financial statements and public filings, preparation and distribution of tax returns, coordination with partnership's third-party servicers including legal counsel, independent accountants, investor communication servicers, transfer agents and investment manager.
  • Information Technology Consulting - Assisted the assignee of an information technology consulting firm by analyzing payments for possible preferential treatment under the Bankruptcy Code.
TRANSACTION SERVICES
  • Corporate Strategy - Assisted the directors and officers of a manufacturer of computer hardware products review its business plan and strategy. Services included critique of the company's business plan including a detailed review of the company, its industry, its competitors and its strategic alternatives.
  • Acquisition - Assisted the management of a foreign technology company review its U.S. acquisition strategy, consider the advantages and disadvantages of various structuring alternatives, the development of an acquisition strategy in the U.S. and investigation of certain competitors as potential acquisition targets.
  • Integration - Assisted the management of a large foreign conglomerate with the integration of a recently acquired domestic subsidiary. Services rendered included serving as interim controller and assistance overseeing the accounting and finance function, preparing internal financial statements, redesigning accounting and finance function, and conversion of accounting and operational computer systems.
  • Divestiture - Assisted the debtor in a corporate recovery engagement present its operation for sale. Services included performing industry and company assessments, drafting a confidential memorandum, preparing preliminary buyer due diligence packages and contact with prospective purchasers.
  • Corporate Finance - Assisted the management of a precious metals refiner identify increases in its cost of funds. Analyzed financing costs on short-term metal leases, forward contracts and futures contracts used to finance and hedge the company's inventory. Recommended revisions to its financing and hedging practices, an optimal capital structure and a corresponding financing package.
  • Valuation - Assisted an investment partnership defend against fraudulent conveyance claims that arose from its involvement in a leveraged buyout transaction. Responsibilities included valuing an aviation services company and its intangible assets before and after the transaction, assessing the adequacy of the company's capital and its ability to pay its debts.
